The Kolkata Bench of the National Company Law Tribunal approved the merger of Shree Venkateshwara Electrocast Pvt Ltd with Shyam Sel and Power Ltd, a wholly-owned subsidiary of Shyam Metalics and Energy Ltd. The tribunal order was dated 16 Oct 2026, and the scheme takes effect from 1 Apr 2024. The company disclosed the approval on 23 Oct 2026.
The transaction consolidates the group’s aluminium foil operations under a single entity. It is intended to streamline manufacturing and marketing activities, improve operational efficiency and strengthen working capital management. 🏭 The scheme also transfers all assets, liabilities, contracts and employees of Shree Venkateshwara Electrocast to Shyam Sel and Power.
No fresh equity issuance is planned because the transferor is already a wholly-owned subsidiary of Shyam Sel and Power. Its existing share capital will be cancelled when the merger is implemented, so the scheme does not immediately dilute the listed parent’s share count. The restructuring is an internal consolidation rather than an acquisition involving a disclosed cash consideration or new capital requirement.
OI Charts data showed the stock closed at ₹1,196 on 21 Oct 2026, down 2.5% on the day, with volume of 1,027,702 shares. The stock remained up 8.9% over both the previous five and 20 sessions, despite the latest decline. Its 52-week range stood between ₹746 on 16 Mar 2026 and ₹1,240 on 19 Oct 2026.
The immediate market focus is now on implementation of the approved scheme, including formal vesting of the transferor’s assets, liabilities, contracts and employees and cancellation of its share capital. Subsequent company disclosures may clarify whether the consolidation produces measurable cost, operational or working-capital benefits. ⚙️ The announcement did not provide a deal value, revenue impact, earnings guidance or quantified savings for the aluminium foil business.
The development is relevant to the metals and manufacturing segments because the group is organising its foil operations under one operating structure. The NCLT approval removes a regulatory hurdle, but the financial effect will depend on execution and later disclosures.
