The Reserve Bank of India approved the amalgamation of Emirates NBD Bank P.J.S.C.’s Indian branches with RBL Bank, with the merger taking effect on 1 Dec 2026. The RBI said all Indian branches of the Dubai-based lender will function as branches of RBL Bank from that date. 🏦
The approval follows Emirates NBD’s acquisition of a 60% stake in RBL Bank’s expanded share capital on 18 Jun 2026 through a primary capital infusion of approximately USD 2.75 billion, or ₹26,000 cr. The transaction was first announced in Oct 2025 and received the required regulatory clearances before completion. The Finance Ministry had earlier approved the foreign lender’s acquisition of up to a 74% stake.
The branch amalgamation gives the combined banking platform a single operating structure in India and marks the next implementation step after the promoter transaction. It also shifts attention to the integration of operations, products and customer relationships across the incoming branches. For the banking sector 💼, the move provides a formal timeline for the enlarged franchise’s operating model and future strategic priorities.
RBL Bank closed at ₹378.25 on 16 Oct, up 1.1%, with volume of 5,828,193 shares, according to OI Charts data. The stock had declined 9.5% over the previous five sessions and 6.4% over 20 sessions. Its 52-week range was ₹287.20 to ₹429.60.
Derivatives positioning showed long build-up, with futures open interest rising 2.3% to 56.9 million shares. The futures contract traded at a 0.16% discount to the underlying, while the put-call ratio was 0.41. For the 27 Oct expiry, max pain was ₹390; the largest call open interest was at ₹400 and the largest put open interest was at ₹390.
The next key date is 1 Dec, when the branches formally begin operating under RBL Bank. Until then, traders will watch for integration disclosures, further regulatory or corporate updates, and whether the stock can reclaim the ₹390 max-pain level or face supply near the ₹400 call-open-interest concentration.
